State Located In

Most small business owners choose to file their company in the state the company is physically located, conducts business and maintains employees. There is generally no reason to file a company in another state unless the company will have a physical presence within that state. Filing outside of the state in which the company maintains a physical presence can often create more work and cost more money.

Some states are known for being “business friendly” and often companies that are not located in those states choose to file there. The three most common states companies will file that are not located within those states are Delaware, Nevada and Wyoming.

Delaware
The first corporation ever filed was in Delaware. Delaware has over 200 years of corporate law precedent and nearly 60% of the U.S. Fortune 500 companies are incorporated in Delaware. Delaware is a state known for being very business friendly and the state requires minimal filing requirements.

Nevada
Nevada is one of the most popular states to file a corporation for those that choose to file in a state other than the state they are located in. The benefits to filing a company in Nevada are:

· Business friendly corporate statutes.
· No state corporate income tax.
· No franchise tax.
· No personal income tax.

Wyoming
Wyoming has been a state that has been making a name for it self as a very business friendly state and a popular place to form a corporation. The benefits to filing a company in Wyoming are:

· No state income taxes.
· Nominee officers are legal.
· Minimal startup costs.
· Favorable asset protection laws.

No matter what state you decide to incorporate your business, DoMyLLC can help you file the paperwork properly and make sure you stay compliant with state regulations. We make sure everything is completed so you can focus on running your business.
