Colorado Amendment
When managing a business, it can be inevitable to make changes as time goes by. When that happens, a company owner should be ready to handle all the responsibilities that come with the changes. Additionally, if the changes are related to the items that are originally listed on the articles of the company, the owner has to make sure that they are well-documented with the state.
What is A Colorado Amendment?
Colorado requires all companies to let the state know if there are any changes in the organization. Doing this involves the filing of the proper paperwork, which is known as an amendment. Generally, the filing of an amendment with the state is necessary if the changes are on the Articles of Incorporation/Organization of a business.
Reasons Why You Need To File An Amendment
Every business has a different reason to file an amendment. Whatever, it is, it has to go through the legal process. If the changes that you want to adopt will affect the formal entity structure of your business, you will have to file an amendment with the state.
A. Changing The Company Name –
- LLCs
If you decide to change the name of your Colorado LLC, you have to go through the process that the state has set. Fill out the proper form and submit the amendment to the state to make sure that it is aware of your plans. Aside from this, you will have to update all the records of your LLC with the state and government.
- Corporations
Corporations that wish to do business under a new name also need to go through the said process. Whatever the reason for the change may be, you have to follow the state regulations. Make sure the new name is available for you to use before filing. Then, file the completed amendment form with the Secretary of State. Additionally, you will also have to change the name of your company on all state and government records.
B. Changing Members Of The Business –
- LLCs
Unlike other states, Colorado does not require LLCs to submit information about the members and managers. You do not have to file an amendment even if there are changes in information about your LLC’s members and/or managers. Updates to members and/or managers can be documented in the operating agreement of the company.
- Corporations
The same rule applies to Colorado corporations. Since you do not have to submit any information regarding your officers and directors, you do not have to file an amendment for any changes related to this. Changes to officers and directors of the company should be documented during official company meetings and kept with the corporate record book.
C. Changing Address Related To The Business –
- LLCs
Sometimes, an LLC must move its office location. When this happens, you have to make sure that the state knows. However, you cannot use the amendment form for this. Changes in the office and mailing addresses should be reported using the Statement of Change Changing the Principal Office Address form.
- Corporations
Corporations cannot also report the change in their office and mailing addresses using the amendment form. Instead, you will have to submit a completed Statement of Change Changing the Principal Office Address.
D. Changing Contact Information –
- LLCs
The state has to be up-to-date on your company’s contact information. This way, they will be able to reach you in case they have legal queries. Colorado requires all LLCs to have a registered agent to serve as the recipient of legal documents on behalf of the company. So, you have to inform the state in case there are changes on information related to the agent. For this, you will need the Statement of Change Changing Registered Agent Information form.
- Corporations
Make sure that the state has a way to reach your corporation. Inform them about any changes to your contact information. If the changes that you will have to make are related to the registered agent of the corporation, use the Statement of Change Changing Registered Agent Information.
E. Changing The Number Of Shares That A Corporation Is Authorized To Issue – Since Colorado LLCs cannot issue stocks, they do not have to think about making this change. However, corporations are different. Colorado corporations that are authorized to issue stocks have to inform the Secretary of State if you have any plans of changing the number of shares your company is allowed to sell.
