What Is An Alaska Amendment?

Any major changes in the organization have to be reported to the state of Alaska. Meaning you will have to file the proper paperwork. Doing this will formalize the changes that you want to make. The process is known as an Alaska amendment.

When your LLC or corporation wants to make changes to the company’s Articles of Organization/Incorporation, you will have to file for amendment. No matter what the reason may be, your organization has to inform the state about any changes that will affect your company’s formal entity structure.

 A. Changing The Company Name –

• LLCs

If an LLC decides to change its business name, it has to ensure that it undergoes the legal process. To do this, your company has to submit an amendment. Do not forget to also update all the records of your company with the government.

• Corporations

Some corporations also decide to do business using a new company name. No matter what the reason may be, you have to go through the process that the state has set. Additionally, you will also have to update the company name on all official records.

B. Changing Members Of The Business – Unlike other states, Alaska does not allow businesses to change their officials through an amendment. If this is the type of change your company has to do, use the Notice of Change of Officials form. However, if the biennial report is due, you can update these pieces of information there.

C. Changing Address Related To The Business – Alaska does not allow businesses to change their primary addresses through an amendment. If you want to change this information, you can do so on the biennial report. However, if you make the changes in-between biennial reports, you will have to submit an Entity Address Change form.

D. Changing Contact Information –

• LLCs

You have to always keep the contact information of your LLC updated so that the state knows how to reach your company. The Articles of Amendment comes with a contact information sheet.

• Corporations

If there are changes in the contact information of your Alaska corporation, make sure you inform the state. Complete the contact information sheet that comes with the Articles of Amendment form.

E. Changing The Number Of Shares That A Corporation Is Authorized To Issue – Only corporations can issue stocks. If you have to make changes to the authorized stock of your corporation, you have to inform the state by filing an amendment.

LLC

Your company has to file 2 copies of the completed Articles of Amendment Domestic Limited Liability Company Form with the Division of Corporations, Business, and Professional Licensing. You can submit in person, by mail, or through fax. If you choose to send it by fax, you need to submit a completed Credit Card Payment Form. If you mail the documents, you can use this payment form or include a check or money order. Make sure it is payable to the State of Alaska. The forms also require the signature of an authorized representative. You will also need to include $25 for the filing fee.

Corporation

For corporations, the state requires you to submit 2 copies of the completed Articles of Amendment. You can file by mail, fax, or in-person with the Division of Corporations, Business, and Professional Licensing. Submit a Credit Card Payment Form if you choose to fax the request. Make sure your authorized representatives sign the documents. The state also accepts faxed or electronic signatures. An amendment filing is worth $25.
