Reasons Why You Need To File An Amendment
When your LLC or corporation wants to make changes to the company’s Articles of Organization/Incorporation, you will have to file for amendment. No matter what the reason may be, your organization has to inform the state about any changes that will affect your company’s formal entity structure.
A. Changing The Company Name –
- LLCs
If an LLC decides to change its business name, it has to ensure that it undergoes the legal process. To do this, your company has to submit an amendment. Do not forget to also update all the records of your company with the government.

E. Changing The Number Of Shares That A Corporation Is Authorized To Issue – Only corporations can issue stocks. If you have to make changes to the authorized stock of your corporation, you have to inform the state by filing an amendment.

LLC
Your company has to file 2 copies of the completed Articles of Amendment Domestic Limited Liability Company Form with the Division of Corporations, Business, and Professional Licensing. You can submit in person, by mail, or through fax. If you choose to send it by fax, you need to submit a completed Credit Card Payment Form. If you mail the documents, you can use this payment form or include a check or money order. Make sure it is payable to the State of Alaska. The forms also require the signature of an authorized representative. You will also need to include $25 for the filing fee.
Corporation
For corporations, the state requires you to submit 2 copies of the completed Articles of Amendment. Make sure your authorized representatives sign the documents. The state also accepts faxed or electronic signatures. An amendment filing is worth $25.
