Why Do You Need New Hampshire Reinstatement For Your LLC Or Corporation?

Losing the good standing status of your company may lead to various consequences. These include noncompliance fines and the revocation of the benefits that come with the business entity type. You can restore that status and legally operate again through a New Hampshire reinstatement.

What Is Needed To File For Reinstatement?

If your company remains in bad standing with the state long enough, it may end up being administratively dissolved. You will have to go through the reinstatement process to get back into good standing with the state. The process depends on state laws.

New Hampshire has unique procedures for reinstating administratively dissolved companies. The requirements depend on when your company files for reinstatement.

Filing Within 120 Days After The Dissolution Submit a completed reinstatement form, all missing annual reports, and the corresponding fees to the Department of State by the 30th of December of the year when your company was dissolved.

Filing Within Three Years Submit the reinstatement form along with the missing annual reports and fees. You will also need a Statement of Good Standing from the Department of Revenue Administration. File all documents with the Department of State.

Late Filing Of Reinstatement You will need Statements of Good Standing from the Department of Revenue Administration and the Department of Employment Security. You will also have to request a late reinstatement form from the Department of State. File these documents with all delinquent annual reports and corresponding fees.

If the Department of State accepts your reinstatement application, there will be a scheduled public hearing regarding your late reinstatement for April 1 or September 1. It will depend on the date you submitted. The hearing will be held at least a month after your submission.

If the Secretary of State and Attorney General approve your reinstatement, the Department of State will cancel your dissolution and issue a reinstatement notice.
