Walk-in submission is also possible. You can get a reinstatement form in person by visiting the Secretary of State’s office.

LLC – Administratively dissolved Tennessee LLCs should file an Application for Reinstatement Following Administrative Dissolution/Revocation (LLC) with the Business Services Division of the Secretary of State. Additionally, you need to attach any delinquent annual report and settle the corresponding fees.

Corporation – As for corporations, you have to file a completed Application for Reinstatement Following Administrative Dissolution/Revocation form with the Business Services Division. You should submit past-due annual report fees and payments as well.

The Business Services Division will also ask for tax clearance verification from the Department of Revenue. If they do not get one, they will reject your filing. You can get the clearance by contacting the Department of Revenue at (615) 253-0700.

How Much Will It Cost To Reinstate?

LLC – The filing fee for reinstating an administratively dissolved LLC in Tennessee is $70. You should also attach all past-due reports. For LLCs, the minimum cost of an annual report is $300. However, if you have more than 6 members, your LLC needs to pay $50 for every additional member. For example, if you have 10 members, then your annual report filing fee will be $500.

Corporation – The Tennessee reinstatement filing fee is $70. You also need to submit all past-due annual reports, which cost $20 each.

 

How Long Will This Process Take?

The normal processing time for mailed reinstatement filings is 3-5 business days. If you file in person, they will process it while you wait. If you have unpaid taxes, you may have to wait for the tax clearance first.

You cannot change the name or address of your registered agent, your principal office address, and the names or addresses of your company’s officials on the Tennessee reinstatement form.
