Annual and biennial reports are documents that your business must file if it wishes to remain in good standing with the state of New Mexico. For-profit businesses need to declare to the state of New Mexico that their business is still operating by filing a biennial report every other year. Limited liability partnerships and nonprofit corporations must file an annual report with the state.

Both biennial and annual reports are filed with the New Mexico Secretary of State to make them aware of any significant structural changes that have occurred to your business. For example, when filing an annual or biennial report, you must declare any changes to the names or addresses of officers or a change in your business’ address. You should be aware, however, that these reports do not serve as an opportunity to change your business name.
