Pennsylvania Annual Report Filing
Declare to the state of Pennsylvania that your business entity is still operating by filing an annual report with the Pennsylvania Department of State.
In Pennsylvania, businesses now have annual reporting requirements, rather than once every ten years. This change aligns Pennsylvania with the standard practice in most other states, where companies must regularly update the state on their operational status.
Starting in 2025, all entities registered to do business in Pennsylvania—such as LLCs, corporations, and other organizations—must submit an annual report to the Pennsylvania Department of State. This report includes basic information like the company’s legal name, principal office address, and names of officers or members. The filing is mandatory even if there have been no changes to the business over the year.
This new annual requirement replaces the previous decennial report system, which only required businesses to confirm their active status once every ten years in years ending in “1” (e.g. 2011, 2021). That system is no longer in effect.
Businesses must now pay close attention to their annual report deadlines, which vary depending on the entity type:
- LLCs: Due by September 30 each year
- Corporations: Due by June 30 each year
- Nonprofits: Due by December 31 each year
- Limited Partnerships and LLPs: Due by April 15 each year
Failure to file an annual report on time may result in administrative dissolution or loss of good standing. Companies should update their compliance calendars accordingly to avoid penalties.
