The Corporations Division of the Michigan Secretary of State’s Office considers annual reports to be compliance documents, which is why it’s important for every company conducting business in the state to file one on-time. If you do not file an annual report on time, you run the risk of not being in good standing with the state and potentially losing your ability to conduct business in the state.
Annual reports allow the Secretary of State’s Office to track any changes that have occurred to your business during the past year. If you have a new corporate officer or one of your current corporate officers changed addresses, you’ll need to indicate this on your Michigan Annual Report. You’ll also need to let the state know if you have a new registered agent, or if you changed the location of your business.

How to File Your Michigan Secretary of State Annual Report
While all businesses in the state must file a Michigan Secretary of State Annual Report, they have a couple of options for filing each year.
- Your registered agent will generally provide you with a pre-printed annual report form a few months before the deadline, which can be completed and then signed and mailed in or faxed.
- Visit the Michigan Department of Licensing and Regulatory Affairs website and visit the FILE ONLINE link at the bottom of the page. From there, search for your corporate name and complete the form online. You can submit the form online as well, complete with payment.
- You may also use a printed form and scan it into your computer, then email it to the Corporation Division. This can be the form you download from the website or the one that your agent provides you. You’ll need to use the cover sheet as well, however.
No matter how you file, it’s important that you do so in order to remain compliant.
