A few years ago, the South Carolina General Assembly passed a bill that repealed the need for some companies to file an annual report. The bill specified that businesses do not need an annual report for the state to consider them to be in good standing. This means that the due date for the annual report is heavily dependent on the tax return date.
For-profit corporations are required to file no later than the 15th day of the third month after the close of their tax year. Although this can vary, the date is March 15th for many companies. Nonprofit corporations are required to renew by the 15th day of the fifth month following the close of their tax year, which tends to be May 15th. Additionally, companies must submit changes of their corporate structure to the South Carolina Secretary of State. Businesses can also use this office to make changes to their registered agent.
South Carolina corporations are also required to file an initial report, known was the Initial Annual Report of Corporations CL-1. This form is due when they submit their initial registration to the Secretary of State.
