How Much Is the New York Biennial Report Filing Fee?
The filing fee is just $9 for most businesses. However, domestic LLPs will pay $20 while foreign LLPs will pay $50. But, these larger fees are for a five-year period instead of the two-year period that other businesses have to pay.
When Is the Filing Deadline?
The filing deadline with the New York Department of State is every two years, during the month that the business was incorporated or first granted authority to operate. For example, if your business was created in March of 2014, you’ll have to file by the end of March in all years ending with an even number.
Are There Late Penalties?
The New York Department of State does not assess any late penalties. However, your status will be changed to “delinquent,” and over time, you could face dissolution of your business which will bring heavy fees and costs with the process of re-forming and refiling your business. It’s more affordable to simply pay the filing fee and submit your information every two years.
