How to File Your Virginia Secretary of State Annual Report

If there have been no changes to your business’ structure, officers, or operations, you can file your Virginia annual report online. To do so, access the Virginia State Corporation Commission eFile system on their webpage and enter your Corporate ID number. You’ll find your company info and can review the form and submit it. You may also download and print a prepopulated form, then mail it into the state with a check. You’ll need to pay the report and the fee at the same time in order to complete the process; the website allows you to pay the filing fees online by using a credit or debit card.

If companies must submit a hard copy of the annual report, they can request a form from the Clerk’s Office. The state recommends making this request well in advance of the filing deadline so that you are not late.

Limited liability companies are not required to submit an annual report each year. Instead, they must simply pay a renewal fee. But, if there are any changes to their corporate structure, they must report these to the State of Virginia the same as a corporation would.
